These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "participant") and Yoga Dining Club, LLC ("Yoga Dining Club," "we," "our," or "us"), a California limited liability company with its principal place of business at 742 Mindful Way, Suite 200, Los Angeles, CA 90028. These Terms govern your access to and use of our website at yogadiningclub.com, attendance at our events, participation in our programs, and use of any related services.
1. Acceptance of Terms
By accessing our website, purchasing tickets or services, registering for events, creating an account, or otherwise engaging with Yoga Dining Club, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our website or services. If you are accessing or using our services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms include both you individually and the entity you represent.
2. Description of Services
Yoga Dining Club provides wellness experiences that combine yoga practice with mindful dining, including but not limited to public yoga dining events, private dinner parties with yoga sessions, corporate wellness programs, educational workshops on nutrition and mindfulness, multi-day wellness retreats, online membership programs with virtual content, and event planning and consultation services. The specific details of each service, including format, duration, location, menu, and pricing, are described on our website and in individual event listings. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected participants.
3. Booking and Reservation Policy
Event bookings and service reservations are subject to availability. A booking is confirmed only when you receive a written confirmation from Yoga Dining Club via email. Until you receive this confirmation, your booking request is considered pending. We may decline any booking at our sole discretion, including but not limited to cases where an event has reached capacity, where the requested service is not available for the specified date, or where previous interactions have resulted in a violation of these Terms.
For public events, registration is typically completed through our website or by contacting our team directly. For private events, corporate programs, and retreats, we work with you through a consultation process to design a customized experience, and final terms are set forth in a separate event agreement that supplements these Terms.
4. Cancellation and Refund Policy
We understand that plans change, and we strive to be fair and flexible with our cancellation policy while also respecting the significant preparation that goes into each event.
4.1 Public Event Cancellations by Participants
- More than 48 hours before the event: Full refund of the ticket price, processed to the original payment method within 5 to 10 business days.
- Within 48 hours of the event: A 50% refund of the ticket price, or a full credit toward a future event of equal or lesser value, valid for 6 months from the date of issue.
- No-show without notice: No refund or credit is provided for no-shows. If you are unable to attend, we encourage you to notify us as soon as possible so we can offer your spot to someone on the waitlist.
4.2 Private Event and Retreat Cancellations
- More than 30 days before the event: Full refund minus a $150 administrative fee that covers planning and vendor coordination costs already incurred.
- 14 to 30 days before the event: 50% refund of the total event cost.
- 7 to 14 days before the event: 25% refund of the total event cost.
- Less than 7 days before the event: No refund is available, as food has been purchased, staff scheduled, and venues secured. Full credit toward a future private event may be provided at our discretion.
4.3 Cancellations by Yoga Dining Club
We reserve the right to cancel or reschedule events due to circumstances beyond our reasonable control, including but not limited to severe weather, natural disasters, public health emergencies, venue emergencies, or insufficient enrollment. In the event of a cancellation by us, you will receive a full refund of all amounts paid for the cancelled event, or you may elect to transfer your booking to a rescheduled date or alternative event.
5. Payment Terms
All prices for our services are listed in United States Dollars (USD) and are subject to change without prior notice, though changes will not affect confirmed bookings. Payment is due at the time of booking for public events. For private events, corporate programs, and retreats, we require a 50% deposit at the time of booking confirmation, with the remaining balance due no later than 7 days before the event date. We accept payment via major credit cards, debit cards, and electronic bank transfers. All payments are processed through secure, PCI-compliant third-party payment processors. We do not store your complete payment card information on our servers. Late payments may result in cancellation of your booking. Any returned checks or failed electronic payments are subject to a $35 processing fee.
6. User Accounts
Some features of our website may require you to create a user account. When you create an account, you agree to provide accurate and complete information, maintain the security of your password and account, promptly update your account information if it changes, accept responsibility for all activities that occur under your account, and notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or remain inactive for an extended period. 7. Intellectual Property
All content on the Yoga Dining Club website, including but not limited to text, graphics, images, photographs, logos, icons, audio, video, recipes, yoga sequences, course materials, and software, is the property of Yoga Dining Club or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our content without our prior written consent, except for personal, non-commercial use such as printing a recipe for home use. The Yoga Dining Club name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Yoga Dining Club. You may not use these marks without our prior written permission.
8. Health and Physical Activity Disclaimer
Yoga involves physical activity that carries inherent risks. By participating in any yoga session offered by Yoga Dining Club, you acknowledge and agree to the following:
- You are voluntarily participating in physical activities that may include yoga postures, breathing exercises, meditation, and related movements.
- Physical activities carry inherent risks including but not limited to muscle strains, sprains, joint injuries, falls, overexertion, and in rare cases more serious injuries.
- You are responsible for evaluating your own physical condition and any risks involved in participating in yoga activities. You should consult with a qualified healthcare provider before beginning any new exercise program, particularly if you have existing medical conditions, injuries, are pregnant, or have not exercised recently.
- You will immediately inform your instructor of any physical discomfort, pain, dizziness, or distress you experience during a session and will stop the activity immediately if advised to do so by your instructor or if you feel it is unsafe to continue.
- Our yoga instructors provide guidance and modifications, but they are not medical professionals and their instructions do not constitute medical advice. You are ultimately responsible for your own body and for choosing whether to follow any instruction or attempt any posture.
- Yoga Dining Club, its instructors, and its staff are not liable for any injuries, illnesses, or adverse health effects that may result from your participation in our yoga sessions.
9. Dietary Disclaimer
The meals and food items prepared by Yoga Dining Club are crafted with care using fresh, high-quality ingredients. However, you acknowledge and agree that our kitchen handles a variety of ingredients including common allergens such as nuts, dairy, gluten, soy, shellfish, and eggs. While we take reasonable precautions to accommodate dietary restrictions and allergies communicated to us in advance, we cannot guarantee that any dish is completely free of allergens or specific ingredients due to the nature of shared kitchen preparation environments. You are responsible for informing us of any food allergies, intolerances, or dietary restrictions before attending an event. If you have a severe or life-threatening food allergy, you should exercise your own judgment about whether to consume food prepared in our facilities, and you assume the risk associated with doing so. The nutritional information and dietary characterizations we provide (such as "vegan," "gluten-free," or "nut-free") are based on our best knowledge of the ingredients used but are not guaranteed.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Yoga Dining Club, its officers, directors, employees, agents, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) our website or services, any conduct or content of any third party on our website, any content obtained from our website, or unauthorized access, use, or alteration of your transmissions or content. In no event shall our total liability to you for all claims arising out of or relating to these Terms or our services exceed the amount you have paid to Yoga Dining Club in the twelve months preceding the event giving rise to the liability.
11. Indemnification
You agree to defend, indemnify, and hold harmless Yoga Dining Club, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our services, your participation in our events, any information or content you submit or transmit through our website, or your violation of any applicable law or the rights of any third party.
12. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any legal action or proceeding relating to these Terms shall be instituted in a state or federal court in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts.
13. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, you agree to first attempt to resolve the matter informally by contacting us at [email protected]. If the dispute is not resolved within 30 days of your initial contact, either party may initiate binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Los Angeles County, California, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you in advance through a prominent notice on our website or by email. Your continued use of our website or services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of our website and services.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any separate event agreements you may enter into with us, constitute the entire agreement between you and Yoga Dining Club regarding your use of our website and services. These Terms supersede any prior agreements, communications, or understandings, whether oral or written, between you and Yoga Dining Club regarding this subject matter.
